Terms and Conditions

Please read these Terms and Conditions (“Terms and Conditions”) carefully before using the Smart Switch application services (the “Service”) operated by eGrid Electrics Pvt. Ltd (“us”, “we”, or “our”).
Your access to and use of the Service is conditioned on your acceptance of and compliance with these Terms. These Terms apply to all visitors, users and others who access or use the Service.

By accessing or using the Service you agree to be bound by these Terms. If you disagree with any part of the terms then you may not access the Service.

Terms of Services on eGrid Electrics hardware

The Home Automation System as provided by eGrid Electrics Pvt. Ltd (“eGrid”) may include hardware devices such as lighting control modules, heating control modules, motion sensors modules, inbuilt WIFI modules, inbuilt luminous/brightness detection circuit, inbuilt Watt meters, etc along with remote access for Control, and Automation of the System.
To maintain the full terms of this agreement, you must have full and complete authority to agree to be a participant/end user (“You”) under this Agreement.
You do not own or have any right, title and interest in or to the mobile app or any portion thereof, including software and services, or any right, title or interest in or to any logos, trademarks, service marks, trade names, graphics and logos or other intellectual property associated with eGrid or any third party (Rasberry Pi and its related software).
You will not or allow anyone under your control to, modify, adapt, translate, prepare derivative works from, decompile, reverse engineer, disassemble or otherwise attempt to derive source code from the System, or to extract portions of the System for use in other applications.
The mobile app is made available and managed by eGrid and they will have access to your account information in order to support the Control and Automate of the system. Your customer account information will be kept confidential and will only be used in conjunction with this System. This Agreement also requires that you have broadband internet service and that your System Hardware communicates using WIFI.
YOU RELEASE AND AGREE TO HOLD HARMLESS AND DEFEND eGrid Electrics Pvt. Ltd AND THEIR RESPECTIVE AFFILIATES, EMPLOYEES, CONTRACTORS AND AGENTS (COLLECTIVELY, THE “eGrid Electrics”) FROM AND AGAINST ANY AND ALL CLAIMS, DEMANDS, SUITS AND CAUSES OF ACTION, AND ANY RELATED LIABILITY, DAMAGES, COSTS AND EXPENSES ARISING IN ANY MANNER OUT OF THE SYSTEM OR THIS AGREEMENT OR ANY INSTALLATION, IMPLEMENTATION, MODIFICATION, UPGRADE, USE, RETURN, REPAIR, MAINTENANCE OR REMOVAL OF THE SYSTEM (INCLUDING THE SYSTEM HARDWARE, AND SOFTWARE), INCLUDING ANY DAMAGE, DESTRUCTION OR MISUSE OF SYSTEM HARDWARE, EXCEPT TO THE EXTENT RESULTING FROM THE NEGLIGENT ACTS OR OMISSIONS OF THE EGRID ELECTRICS GROUP. WITHOUT LIMITATION OF THE FOREGOING INDEMNITY, YOU DO NOT HAVE ANY AUTHORITY FROM THE EGRID ELECTRICS GROUP TO USE THE SYSTEM, INCLUDING SYSTEM HARDWARE, IN ANY CIRCUMSTANCE WHERE THE SYSTEM AND/OR THE SYSTEM HARDWARE’S FAILURE TO PERFORM CAN REASONABLY BE EXPECTED TO RESULT IN PHYSICAL INJURY, LOSS OF PROPERTY, OR IN LOSS OF LIFE, AND YOU AGREE THAT ANY SUCH USE IS ENTIRELY AT YOUR OWN RISK.
TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, AND NOTWITHSTANDING A FAILURE OF THE ESSENTIAL PURPOSE OF ANY LIMITED REMEDY, IN NO EVENT WILL THE EGRID ELECTRICS GROUP BE LIABLE FOR ANY INDIRECT, SPECIAL, INCIDENTAL, CONSEQUENTIAL, OR EXEMPLARY DAMAGES ARISING OUT OF OR IN ANY WAY RELATING TO THIS AGREEMENT OR THE USE OF OR INABILITY TO USE THE SYSTEM (INCLUDING THE SYSTEM HARDWARE, SOFTWARE AND SERVICES), INCLUDING, WITHOUT LIMITATION, DAMAGES FOR LOSS OF GOODWILL, WORK STOPPAGE, LOST PROFITS, PHYSICAL DAMAGE, LOSS OF DATA, COMPUTER FAILURE OR MALFUNCTION, LOSS OF OR INTERRUPTION IN SYSTEM USE, OR ANY AND ALL OTHER DAMAGES OR LOSSES, EVEN IF ADVISED OF THE POSSIBILITY THEREOF, AND REGARDLESS OF THE LEGAL OR EQUITABLE THEORY (CONTRACT, OR OTHERWISE) UPON WHICH THE CLAIM IS BASED.
EXCEPT FOR ANY WARRANTIES PROVIDED BY EACH OF THE SYSTEM HARDWARE, THE EGRID ELECTRICS GROUP MAKES NO REPRESENTATIONS OR WARRANTIES WITH RESPECT TO THE SYSTEM, INCLUDING THE SYSTEM HARDWARE, SOFTWARE AND ENERGY MANAGEMENT OR HOME AUTOMATION SERVICES, AND THE EGRID ELECTRICS GROUP EXPRESSLY DISCLAIMS ALL WARRANTIES, EXPRESS OR IMPLIED, WITH RESPECT TO THE SYSTEM (INCLUDING THE SYSTEM HARDWARE, SOFTWARE AND ENERGY MANAGEMENT OR HOME AUTOMATION SERVICES), INCLUDING MERCHANTABILITY, CONFORMITY TO MODELS OR SAMPLES AND FITNESS FOR A PARTICULAR PURPOSE.

Changes:
We reserve the right, at our sole discretion, to modify or replace these Terms at any time. If a revision is material we will try to provide at least 30 (change this) days’ notice prior to any new terms taking effect. What constitutes a material change will be determined at our sole discretion.

eGrid is committed to respecting the privacy of our users and protecting your information. We strive to prevent unauthorized access or disclosure of information provided to us. This Privacy Policy describes our policies and practices with respect to your personal information.

Secure Ordering

Orders placed with eGrid are secure. eGrid’s servers are equipped with industry standard data encryption technology that enables anyone using an HTTPS-compatible browser (such as Google Chrome, Mozilla Firefox, Apple Safari, or Microsoft Internet Explorer or Edge) to send and receive data from our servers in encrypted form.
All of eGrid's Internet hardware is maintained in secure facilities accessible only to authorized eGrid employees and representatives.
In all cases, the displayed URL will show https instead of http.
If you get a security error, it may be that you have an incompatible browser or you are behind a firewall that does not support encrypted transmissions. You may need to contact your ISP or system administrator to resolve these problems.

Information We Collect

In order to provide you with the best experience with our products and services, we collect various types of information, including both Personal Information and non-personal information. Personal Information is any information that can be used to identify you or link back to you. We use this information to collect your individual consumption behavior to help us give you better analysis of the data. The information provided to you in the form of power usage or any such nature is for your consumption ONLY and CANNOT BE USED IN SOLVING DISPUTE WITH A GOVERNMENT BODY SUCH AS ELECTRICITY BODY/COMPANY OR WITH ANOTHER INDIVIDUAL IN YOUR STATE/CITY/TOWN JURISDICTION. YOUR CANNOT INITIATE A LEGAL SUIT USING THE INFORMATION PROVIDED TO YOU BY EGRID’S SERVICES.

Our Websites are not intended for children under 13 years of age, and we do not knowingly collect any personally identifiable information from children under 13.

While we strive to use commercially acceptable means to protect your personally identifiable information, we cannot ensure or warrant the security of any information you transmit to us or receive from us. You can help protect your information by creating a strong password to access your online account and by accessing your account only through a personal computer or device, as opposed to public computers or public means.

Information You Provide To Us

We collect personal information you knowingly provide to us. For instance, when you register for an account on any of our Websites (an “eGrid” Account"), shop on the Website or respond to a survey, you may provide to us your name, address, phone number, email address, and credit card or other payment information. When you interact with our customer service or technical support teams, you may also provide additional information about the way you are using specific products or the way your network is configured.

We are not responsible for the information you choose to submit and we cannot guarantee that third parties have not made copies of or will not use such information in any way.

How eGrid Uses Personal Information

We do not share your e-mail address with any third-party solicitors.
When you place an order with us, you will receive confirmation e-mails and, in some cases, a follow-up e-mail asking to rate your experience.
Your order information, including e-mail address, may be retained to provide safety or security notifications regarding a product you’ve ordered.
We may use your e-mail address to notify you that your cart is abandoned before completing an order or of any updates or changes to your account, our privacy practices, or our terms of service.

We use both personal data as well as anonymized data to monitor the performance of our servers and services, allowing us to proactively and reactively update our services to deliver a consistently high quality of service. For instance, we may use a combination of general traffic monitoring as well as IP addresses to determine if certain internet service providers or geographic regions have poorer performance and require specific performance enhancements.

Information We Share

We do not sell, license or otherwise disclose any of your personally identifiable information to third parties for their direct marketing purposes without your affirmative consent to such disclosure.

Such information may also be used or transferred as a business asset as part of any merger, acquisition, or sale of company assets, or in the unlikely event of insolvency, bankruptcy or receivership.

We may share non-identifiable information or information aggregated/anonymized in a form that does not directly identify you for purposes such as conducting market or traffic flow analysis, and to produce or facilitate production by others of business and marketing reports to share with third parties.

Sharing With Third-Party Vendors

We use various third-party vendors to deliver our services, such as hosting our Website, handling payment processing and order fulfillment. In these cases, eGrid acts as the data controller and the third-party vendors act as data processors. As our agents, these third-party vendors receive from us only the specific information required for them to perform specific services on our behalf, and they are not authorized to use or disclose your information except as necessary and agreed to perform those specific services for us or to comply with applicable legal obligations.

How To Opt-Out, Remove Or Modify Information Provided To Us

To modify your e-mail subscriptions or notifications, please click on the “Manage Email Preferences” link in the most recent email from eGrid. Please note that due to email production schedules you may receive any emails or electronic notices already in production.

Data Retention

We keep the data we collect for the time necessary to fulfill our obligations to you, including order fulfillment, follow-up technical support (as needed), and the satisfaction of warranty obligations. Operational Data may be deleted or anonymized depending on whether the anonymized data is still relevant to us in aggregate as part of our continuous product improvement processes, or whether the Data is reasonably necessary to provide you with support for ordered products and services. In some cases, we may follow a longer data retention schedule if required or permitted by law.

Do Not Track Notice

eGrid does not track its Website users over time and across third party websites or online services, and therefore, does not respond to Do Not Track (DNT) signals. We do not knowingly permit third parties to collect any personal information from our site unless you directly provide it to us and we provide it to them.

Updates To This Policy

We may update the Privacy Policy at any time in our sole discretion. When the policy is updated, the updated policy will be made available on the Website for your convenience.
